LICENSE & PROGRAM USE AGREEMENT

This License & Program Use Agreement (“Agreement”) governs use of the Transcendent leadership development program and associated materials provided by Transcendent Education LLC (“Transcendent,” “we,” “us”).

This Agreement is incorporated by reference into the Program Terms of Service and applies upon purchase of any Transcendent program.

1. License Grant

Upon purchase, Transcendent grants the purchasing organization (“Customer”) a non-exclusive, non-transferable, limited license to access and use the Transcendent leadership development program and associated materials solely for internal professional development purposes within the Customer’s organization, subject to the terms of this Agreement.

No ownership rights are transferred.

2. Intellectual Property and Ownership

All program materials, content, frameworks, written documents, and supporting resources are the exclusive intellectual property of Transcendent Education LLC and are protected by United States copyright and other intellectual property laws.

This Agreement grants Customer a limited license to use the materials only as expressly permitted herein. All rights not expressly granted are reserved by Transcendent Education LLC.

3. Authorized Participants

Unless otherwise approved in writing by Transcendent, use of the program is limited to individuals designated by the Customer who fall into one or more of the following categories:

  • Hospice medical directors

  • Licensed physicians

  • Clinical administrators with oversight or leadership responsibility related to hospice medical direction, quality, compliance, or clinical operations

The Customer is responsible for ensuring that all designated participants comply with this Agreement.

Use by other individuals or disciplines, including general nursing staff, is not permitted without explicit written authorization from Transcendent.

4. Program Access and Duration

Access to program materials is granted for the duration specified in the applicable purchase terms, proposal, invoice, or written agreement governing the Customer’s selected program package.

Access may be modified, suspended, or terminated:

  • Upon expiration of the agreed access period

  • For violation of this Agreement or the Program Terms of Service

  • As otherwise specified in writing at the time of purchase

No right to perpetual access is granted unless explicitly stated in writing.

5. Permitted Use

Authorized Participants may use the program materials solely for:

  • Individual professional development

  • Internal leadership formation

  • Clinical reasoning and leadership discussion within the organization

Materials may not be used as external training content, consulting tools, or operational directives.

6. Printed and Electronic Copies

Authorized Participants may print reasonable numbers of hard copies of program materials solely for internal use by individuals permitted under this Agreement, including for onboarding, reference, or facilitated internal discussion.

Electronic copies of program materials may be stored only in secure, access-restricted systems accessible exclusively to Authorized Participants.

Customer and Authorized Participants may not:

  • Distribute electronic copies via email or messaging platforms

  • Upload materials to shared drives, learning systems, or cloud platforms accessible to unauthorized users

  • Share PDFs or electronic files outside the Customer’s organization

  • Circumvent access controls or digital safeguards

Printed copies remain subject to this Agreement and may not be further reproduced or distributed beyond Authorized Participants.

7. Prohibited Uses

Customer and Authorized Participants may not:

  • Share, distribute, sublicense, or sell program materials outside the organization

  • Modify, adapt, or create derivative works

  • Use materials to provide consulting, advisory, or compliance services

  • Represent the program as medical, operational, regulatory, or legal guidance

8. No Consulting; No Clinical Work

Transcendent Education LLC:

  • Does not provide consulting services

  • Does not perform clinical work or patient care

  • Does not participate in clinical, operational, or regulatory decision-making

All clinical and organizational decisions remain the sole responsibility of the Customer and its licensed professionals.

9. No Advisory or Patient Relationship

Use of the program does not create:

  • A consultant-client relationship

  • A physician-patient relationship

  • A supervisory, oversight, or agency relationship

Transcendent’s role is limited strictly to providing leadership development content.

10. Termination

Violation of this Agreement may result in immediate termination of the license and access to program materials without refund.

11. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Iowa, without regard to conflict-of-law principles.

12. Acceptance

By completing payment, Customer acknowledges that it has read, understood, and agreed to this License & Program Use Agreement.
